ReturnZap Terms and Conditions

Introduction
By accessing and using ReturnZap, including any related features and services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legal agreement between you ("Client" or "you") and ReturnZap ("ReturnZap," "we," "our," or "us").
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with these Terms, you must discontinue use of the Service immediately.
By installing ReturnZap through the Shopify App Store and accessing the Service, you agree to be bound by these Terms and any additional terms referenced herein. When a user installs ReturnZap on their Shopify store, all users with access to that store through Shopify may also access ReturnZap and are likewise bound by these Terms.
ReturnZap may update these Terms from time to time, and continued use of the Service following any such updates constitutes acceptance of the modified Terms.
ReturnZap grants you a limited, non-exclusive, non-transferable right to access and use the Service solely for your internal business operations, subject to these Terms. You may not license, sublicense, sell, or transfer your rights to any third party.
You are responsible for ensuring the security of your Shopify account credentials and for all activities that occur under your Account. ReturnZap is not liable for any unauthorized access to or use of the Service.
All billing for the Service is handled through Shopify. Subscriptions are billed on a monthly basis, and you may cancel at any time by uninstalling the ReturnZap app from Shopify. Upon cancellation, you will retain access to the Service until the end of your billing cycle. No refunds or credits are provided for partial months.
ReturnZap reserves the right to suspend or terminate your access to the Service, with or without notice, if you fail to comply with these Terms, provide false information, or misuse the Service.
If terminated, your rights to access and use the Service will immediately cease, and any outstanding fees will become due and payable.
Your use of the Service is subject to ReturnZap’s Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you acknowledge and agree to the terms of the Privacy Policy. ReturnZap's privacy policy can be found at:

ReturnZap may collect anonymized, aggregated data from your use of the Service for analytical purposes, system improvements, and performance optimization.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RETURNZAP OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SERVICE, EVEN IF RETURNZAP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL RETURNZAP’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE TOTAL AMOUNT YOU PAID TO RETURNZAP DURING THE 12-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless ReturnZap, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to legal fees) arising from your use of the Service or any violation of these Terms.
ReturnZap may integrate with or link to third-party services, including Shopify. Your access and use of these third-party services are governed by the terms and conditions of such third parties, and ReturnZap is not responsible for their actions, policies, or service availability. You agree that ReturnZap shall not be liable for any damages or losses incurred in connection with third-party services.
ReturnZap Shipping is an optional feature of the Service that allows Clients to generate and purchase shipping labels directly within the ReturnZap platform. By enabling ReturnZap Shipping in your account or through any related dashboard or setting, you agree to be bound by this Section 10 in addition to the rest of these Terms.
ReturnZap acts solely as a facilitator and reseller of shipping labels provided through third-party carrier networks. ReturnZap is not a carrier, freight forwarder, or insurer, and does not handle, transport, or store any parcels.
To use ReturnZap Shipping, you must maintain a pre-funded wallet within the Service (“Wallet”). All label purchases, carrier fees, and adjustments are deducted from this Wallet at the time of transaction.
Wallet balances may be funded in USD, GBP, or EUR. When funding or refunding in a different currency, applicable conversion and foreign-exchange processing fees may apply. Exchange rates are determined by ReturnZap’s payment processor or banking partner at the time of the transaction.
You may request a refund of any unused Wallet balance at any time. Refunds will be processed in the currency originally funded, subject to reasonable verification and processing time.
Insufficient Balance & Offsets. If the Wallet balance is insufficient to cover any fee or post-shipment adjustment, you authorize ReturnZap to (a) charge any payment method on file, (b) invoice you for the shortfall, and/or (c) set off amounts you owe against any credits or refunds otherwise payable to you.
Shipping label prices shown within ReturnZap Shipping represent the total amount payable, inclusive of any service fees or mark-ups applied by ReturnZap. All fees are due and payable at the time the label is purchased.
Labels are provided for the Client’s internal business use only and may not be resold or transferred outside of the ReturnZap Service.
Optional shipping insurance is available for eligible shipments at the time of label purchase. Coverage, exclusions, documentation, limits, and claim deadlines are governed solely by the insurance provider’s policy terms.
ReturnZap’s role is administrative; approval and payment of any claim are determined by the insurer.Claims for loss or damage must be submitted through ReturnZap within the time limits and with the documentation required by the insurance provider.
Clients who do not purchase insurance accept full responsibility for any loss, damage, or delay once the package has been tendered to the carrier.
For international shipments, you are solely responsible for ensuring the accuracy of all customs data, including item descriptions, values, and harmonized codes. ReturnZap may transmit this information electronically where supported but does not verify or certify its accuracy.
Export Controls & Sanctions. You represent and warrant that you, your shipments, recipients, and end uses comply with all applicable export control, sanctions, and trade laws (including U.S. OFAC restrictions). ReturnZap may refuse, suspend, or cancel shipments or services where a shipment, recipient, destination, or end use appears restricted or prohibited.
ReturnZap will not be liable for customs delays, assessments, or confiscations resulting from inaccurate or incomplete information or regulatory reviews.
You may not use ReturnZap Shipping to ship items prohibited by law or by the relevant carrier, including but not limited to hazardous materials, counterfeit goods, or restricted commodities. ReturnZap reserves the right to refuse, suspend, or cancel label generation for any shipment believed to violate these restrictions.
You may request refunds for unused or voided labels through ReturnZap. Refunds are subject to carrier approval and may take several business days to process.
Responsibility for Charges. You are responsible for all charges associated with purchased labels, including postage, carrier surcharges, adjustments, penalties, taxes, audit or discrepancy fees, and any other carrier-assessed amounts.
Post-Shipment Audits & USPS APV. Carriers may conduct post-shipment audits (e.g., weight, dimensions, address, zone) and assess under- or over-payment adjustments and processing fees (including programs such as USPS Automated Package Verification). Such amounts may be automatically debited from your Wallet without prior notice.
You may dispute a charge or adjustment by contacting ReturnZap Support within 30 days of the transaction date. Refunds for unused Wallet balances are available upon request in accordance with Section 10.2.
ReturnZap is not responsible for any shipment once it has been accepted by the carrier. Delivery times, performance, and outcomes are governed solely by the carrier’s own terms and conditions.
To the maximum extent permitted by law, ReturnZap’s total liability arising out of or related to ReturnZap Shipping shall not exceed the total amount paid for the specific shipping label that gave rise to the claim.ReturnZap shall not be liable for any indirect, incidental, or consequential losses, including loss of goods, profits, or data.
ReturnZap Shipping depends on the operational availability of third-party carriers and service providers. Access may be temporarily suspended for maintenance, upgrades, or technical issues outside ReturnZap’s control.
ReturnZap may suspend or terminate your access to the shipping feature for misuse, suspected fraud, non-payment, or violation of this Section 10.
To provide shipping services, ReturnZap transmits certain Client data, such as shipping addresses, contact details, and customs information, to carriers and logistics partners. Such data sharing is limited to what is necessary for shipment fulfillment and is handled in accordance with the ReturnZap Privacy Policy.
You may discontinue use of ReturnZap Shipping at any time by disabling the feature in your account. Any remaining Wallet balance may be refunded in accordance with Section 10.2.
ReturnZap may terminate your access to ReturnZap Shipping immediately upon notice if you breach this Section 10 or use the feature in a manner inconsistent with these Terms or applicable law.
In the event of any conflict between this Section 10 and other provisions of these Terms, this Section 10 governs for matters relating to ReturnZap Shipping.
Subject to your guidelines, you grant ReturnZap a limited, non-exclusive, non-transferable, worldwide, royalty-free license to use your registered and unregistered trademarks, trade names, and logos in connection with marketing and promotional efforts. Unless you otherwise specify in writing, ReturnZap shall not be required to submit marketing materials for prior approval. This license does not grant ReturnZap any ownership rights to your trademarks.
ReturnZap shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, acts of government, war, riots, pandemics, labor disputes, or internet service disruptions. In such cases, ReturnZap will make reasonable efforts to resume performance as soon as feasible.
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Georgia, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the courts of Georgia.
